General Terms & Conditions
1. Overview, Parties and Scope
These General Terms & Conditions (the “General T&Cs”) govern the supply of products and services by MY AMEEGO LIMITED (“we”, “us” or “our”). We are a company incorporated in England and Wales under company number 07139507.
These General T&Cs apply to all our customers, including commercial customers, wholesalers, trade customers, approved credit-account customers, dropshipping customers and non-commercial retail consumers, except where a specific written term or separate document expressly applies instead.
Where a customer is a consumer, these General T&Cs apply subject to all mandatory rights and protections available under applicable consumer law.
By visiting or using our website, requesting a quotation, completing a Customer Account Registration Form, opening or using an account, placing an order, requesting trade credit, applying for or using the dropshipping service, accepting delivery, making payment, or otherwise obtaining products or services from us, you agree to be bound by these General T&Cs as applicable.
No physical or electronic signature is required for these General T&Cs to become binding where acceptance is established by the customer’s dealings with us or by the customer’s use of a service supplied by us.
These General T&Cs are supplemented, where applicable, by the Customer Account Registration Form, any approved Credit Account application or separately agreed Credit Terms, DS-01 – Dropshipping Terms & Account Rules (“DS-01”), the applicable Dropshipping Postage & Handling Terms, being DS-02A or DS-02B (the “Dropshipping P&H Terms”), individual orders, order confirmations, invoices and other written terms expressly agreed by us.
References to “in writing” include email and other electronic communications issued or accepted by us.
2. General Conditions and Account Services
We may refuse, suspend or restrict service, an account or an order where it has a legitimate business, operational, legal, compliance, credit, payment, fraud-prevention or fulfilment reason to do so.
Completion of a Customer Account Registration Form or establishment of a customer account does not automatically create an entitlement to trade credit or use the dropshipping service. Credit and dropshipping are subject to separate approval and applicable terms.
Any individual applying for or operating a business, trade, wholesale, credit or dropshipping account must be aged 18 or over and authorised to act on behalf of the relevant business.
Customers must not reproduce, copy, exploit or commercially use website content, product information, images, branding or other materials belonging to or supplied by us except as expressly authorised by us.
Customers are responsible for maintaining the confidentiality of any account credentials and for all activity carried out through their account, subject to applicable law.
3. Information Accuracy
Customers must provide complete, accurate and current information when registering, ordering, applying for credit, using a dropshipping account or otherwise dealing with us.
We may rely on information supplied by the customer. The customer must promptly notify us of any material change to its business, contact, billing, delivery, ownership or account information.
4. Prices, Products and Service Changes
Unless otherwise agreed in writing, prices are those stated by us at
the time of order acceptance or otherwise applicable to the customer’s account.
We may change prices, product specifications, product availability and services. Changes will not affect an order already accepted by us except where permitted by these terms or agreed with the customer.
For dropshipping customers, applicable product pricing and dropshipping postage and handling charges are governed by DS-01 and the Dropshipping P&H Terms.
5. Products, Delivery and International Shipments
Product descriptions and images are provided for general information and may vary where reasonably necessary, including because of manufacturer or supplier changes.
For international shipments, the customer is responsible for any import duties, taxes, customs requirements, permits or other charges for which it is legally responsible, unless otherwise agreed.
Delivery dates and times are estimates unless we expressly agree a specific delivery commitment in writing. Carrier delays, stock issues and events outside our reasonable control may affect delivery.
For business customers, risk in the goods passes to the customer on delivery to the agreed delivery address or, where collection is agreed, when the goods are collected.
Title to goods supplied to a business customer remains with us until we have received payment in full for those goods and all other sums due in respect of them.
We shall not be liable for delay or failure to perform an obligation caused by events beyond its reasonable control, including carrier disruption, supply-chain interruption, industrial action, failure of utilities or communications, governmental action or other similar events, except to the extent that liability cannot lawfully be excluded or restricted.
6. Billing and Payment
Unless otherwise agreed in writing, standard non-credit orders must be paid in full in GBP before dispatch.
Approved credit accounts are subject to the payment period and credit limit separately agreed or notified by us. Unless otherwise agreed, approved credit-account invoices are due within 14 calendar days of invoice date.
Dropshipping orders are governed by the payment provisions in DS-01. A dropshipping account is not a credit facility merely because payment is made after dispatch.
We may reduce, suspend or withdraw a credit facility where payment history, account exposure, financial circumstances or other legitimate business considerations justify doing so.
If an amount is overdue, we may suspend further supply or services and may refer the debt for recovery.
Business customers must make all payments due in full without deduction, set-off or counterclaim, except where required by law or expressly agreed in writing by us.
7. Overdue Accounts and Recovery Costs
For business customers, where permitted by law, the customer is responsible for reasonable costs incurred by us in recovering overdue sums, including reasonable legal, tracing, collection and administration costs.
We may use an appropriate third-party debt recovery agency or other recovery service and may seek statutory interest or other contractual interest where applicable.
8. Third-Party Services and Links
We may use third-party carriers, payment providers, software providers, fulfilment systems and other service providers. Third-party services may be subject to their own terms.
Links to third-party websites are provided for convenience. We are not responsible for third-party content, availability or services except to the extent required by law.
9. Customer Content and Communications
Where customers provide product listings, comments, images, text or other content, the customer confirms that it has the necessary rights and permissions to provide and use that material.
Customers must not submit content that is unlawful, misleading, defamatory, infringing, abusive, fraudulent or otherwise prohibited by law.
10. Data Protection and Privacy
Personal information will be handled in accordance with our Privacy Policy and applicable UK data protection law, including the UK GDPR and the Data Protection Act 2018, as amended from time to time.
For dropshipping, personal data relating to end customers may be provided to us so that we can fulfil orders. The parties will comply with their respective data protection obligations. Where we process personal data on behalf of a customer as a processor, the parties will enter into or incorporate an appropriate written data-processing arrangement containing the terms required by applicable data protection law.
The customer must ensure that it has a lawful basis and all required permissions, notices and consents necessary to provide personal data to us for fulfilment and related purposes.
11. Errors, Omissions and Corrections
We may correct typographical, pricing, product-description, availability or other obvious errors and may cancel or amend an order affected by such an error where reasonably necessary.
Where an order has already been accepted and we become aware of a material error, we will contact the customer where reasonably practicable.
12. Prohibited Uses
Customers must not use products, services, website facilities or account facilities supplied by us for unlawful purposes or in breach of applicable law or third-party rights.
Customers must not interfere with systems operated by us or on our behalf, attempt unauthorised access, introduce malicious software, misuse account facilities or engage in fraudulent activity.
13. Liability
Nothing in these General T&Cs excludes or restricts liability that cannot lawfully be excluded or restricted, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or statutory rights and remedies that cannot lawfully be excluded.
For business-to-business customers, we will not be liable for indirect, incidental, special, punitive or consequential loss, including loss of profit, revenue, business opportunity, goodwill or data.
For business-to-business customers, our aggregate liability arising from or in connection with the specific goods or services giving rise to the claim shall not exceed the total net invoice value paid to us for those specific goods or services.
For retail consumers, nothing in these General T&Cs affects rights or remedies that cannot lawfully be excluded or restricted under applicable consumer legislation.
Any limitation or exclusionof liability is intended to apply only to the extent permitted by law and is subject to any applicable requirement of reasonableness or fairness.
14. Indemnification
To the extent permitted by law, a business customer shall indemnify us against reasonable losses, liabilities, claims, costs and expenses arising from the customer’s breach of these terms, unlawful use of the services, non-payment or infringement of third-party rights, except to the extent caused by our breach, negligence or wilful misconduct.
This section does not limit any statutory rights or liabilities that cannot lawfully be limited.
15. Severability
If any provision of these General T&Cs is held to be invalid, unlawful or unenforceable, that provision shall be modified or severed only to the extent necessary, and the remaining provisions shall continue in force.
16. Termination and Suspension
We may suspend or terminate an account or service where permitted by these terms, including for non-payment, material breach, fraud, legal or compliance concerns, misuse, insolvency or operational reasons.
A customer may request closure of its account. Closure does not release the customer from amounts, obligations or liabilities accrued before closure.
Provisions which by their nature are intended to survive termination shall continue to apply, including payment, overdue accounts and recovery costs, intellectual property, liability, indemnification, and governing law and jurisdiction.
17. Contract Documents, Incorporation and Precedence
The contractual framework between us and a customer may comprise these General T&Cs and the other documents listed in section 1.
Each document applies only to the subject matter for which it is intended. A document does not automatically impose obligations relating to a service that the customer has not been approved to use.
DS-01 applies specifically to the dropshipping service and prevails over these General T&Cs to the extent of any inconsistency concerning dropshipping.
The Dropshipping P&H Terms apply specifically to dropshipping postage, delivery and handling arrangements and prevail over any general pricing, postage, delivery or handling provision to the extent of any inconsistency concerning those matters.
Separately agreed credit terms may vary the relevant payment or credit provisions of these General T&Cs for the applicable customer.
18. Governing Law and Jurisdiction
These General T&Cs and the relationship between us and the customer are governed by the law of England and Wales.
The courts of England and Wales shall have jurisdiction, subject to
any mandatory rights or jurisdiction applicable to a consumer or other party
under law.
We may seek recognition or enforcement of a judgment or order in any jurisdiction where the customer or its assets are located, where legally permitted.
19. Changes to These Terms
We may update these General T&Cs from time to time to reflect changes in law, business operations, products, services, systems or commercial requirements.
Changes will normally be published at https://ameego.co.uk/terms or otherwise made available to customers. Unless a different effective date is stated, changes will apply to future orders and services from the stated effective date.
A change will not retrospectively alter rights or obligations already accrued under an accepted order except where required by law or expressly agreed.
